JoinUp Business Terms

These JoinUp Business Terms ("Business Terms") are an agreement between Testcamp Inc. ("we", "us") and the business you represent ("you", "your business"). They apply when you claim or manage a business page on JoinUp, invite people to help manage it, or use any other JoinUp feature made for businesses (together, "JoinUp for Business"). They add to our Terms of Service and Privacy Policy, which also apply to everyone who uses JoinUp. Where these Business Terms and the Terms of Service disagree about JoinUp for Business, these Business Terms control.

By claiming a page or using JoinUp for Business, you accept these Business Terms for your business, and you confirm that you have the authority to do so. If you do not agree, or you do not have that authority, do not claim or manage a page.

1. Who may claim a business

• You must be at least 18 years old and have a JoinUp account that we have not suspended or banned.
• You must be the owner of the business, or a person the owner has authorized to claim and manage its page, and you must have the authority to bind the business to these Business Terms. When you accept for a business, "you" means both you and that business.
• The business must be a real business that operates lawfully at, or serves customers from, the location shown on its page.
• A business has one business account. A business with several locations manages all of them from that one account. Do not open a second account for the same business, and do not claim a location that is not part of your business.
• You may not claim a page if we have previously removed your access to JoinUp for Business.

2. People who manage your page

• The owner of the business account may invite employees and others to help manage the business's pages. Each person uses their own JoinUp account; do not share accounts or sign-in codes, and sign out of JoinUp on any device other people can use.
• Everyone you invite acts on behalf of your business, under the owner's account. Your business is responsible for everything they do in JoinUp for Business as if the business had done it, and for making sure they follow these Business Terms.
• Remove a person's access when they leave your business or should no longer act for it, and tell us promptly if you believe someone has used your business account without permission.

3. Verification

We verify a claim by checking control of a contact channel that is already publicly listed for the business, not by accepting what a claimant tells us. The usual method is a short-lived, single-use code delivered to the phone number already listed for that business. A phone number that a claimant types in does not verify a claim.

When the listed number cannot be used, or when a claim is disputed, we may ask for other evidence, such as a code sent by mail to the listed address, or documents showing that you own or run the business. Not every method is available for every business or at every time. We do not promise that a claim will be verified, or verified by any particular date.

Do not interfere with verification. Do not request or intercept a code meant for someone else, change a business's publicly listed phone number or address in order to pass verification, or submit false or altered documents.

We keep a record of each claim, including who made it, when, by which method, and on what evidence, so that the claim can be reviewed later.

4. Refusing, suspending or removing a claim

We may refuse a claim, suspend access to a claimed page, or remove a claim if: we cannot verify it; we reasonably believe the claimant lacks authority or gave us false information; the business has closed, moved or changed hands; the claim is disputed; your business or anyone acting for it breaks these Business Terms, our Terms of Service or the law; or the law requires it. Where it is practical and lawful, we will tell you the reason.

When a claim is removed, the page can stay on JoinUp as an unclaimed listing, and Business Content already on it may stay, be changed or be removed as described in sections 6 and 7.

5. Disputes between claimants

Only one business account may hold the claim to a page at a time. If more than one person or business says it has the right to manage a page, we may pause the page, keep the existing claim in place while we look into it, ask each side for evidence, or move the claim. We decide on the evidence we have, and we do not promise any particular outcome or timing.

We are not responsible for settling disagreements between owners, partners, former employees, franchisors, landlords or buyers of a business; those are for the people involved to resolve. We may rely on a court order, or on a written agreement signed by the people involved, when deciding who holds a claim.

6. Your Business Content

"Business Content" means everything you, or anyone acting for your business, add through JoinUp for Business: the business's name, address, hours, contact details, categories and description, photos, menus and listings, offers, replies, messages, and any other material.

Your business keeps ownership of its Business Content. Your business grants Testcamp Inc. a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, crop, resize, translate and otherwise adapt for layout, and distribute Business Content in JoinUp, and to let our service providers do those things on our behalf. For Business Content your business publishes on its public page, other than the replies and messages described in the next paragraph, the license also lets us use it in marketing and promotion of JoinUp, in any media. The license lasts while the content is on JoinUp. After content is removed or your claim ends, we may keep copies for backup, legal, safety and record-keeping purposes, we do not have to withdraw marketing materials already published, and we may keep showing basic facts about the business (such as its name, address, category and hours) that we also get from other sources.

Replies and messages your business sends to a person, including a public reply to a review, are only hosted, stored and delivered (and a public reply is shown with the review it answers); we never use them in marketing or promotion. We will not use a photo or video showing an identifiable person in marketing outside JoinUp without any consent the law requires.

You represent and warrant that your Business Content:

• is accurate and not misleading;
• is yours to give, meaning your business owns it or has every permission needed to grant the license above;
• is lawful and does not infringe anyone's intellectual property, privacy or publicity rights; and
• shows an identifiable person in a photo or video only with that person's consent to its publication and use as this section allows (and, for anyone under 18, the consent of a parent or guardian).

7. Keeping information accurate

• Keep your business's hours, special or holiday hours, address, contact details, menus, prices and offers current, and update them on JoinUp promptly when they change.
• Do not add names, keywords, locations or statements that do not describe the real business.
• We may correct or update the information on your business's page, hide or remove Business Content, or show information about your business from other sources or from people who use JoinUp, when we believe it is inaccurate, out of date, unlawful or against these Business Terms. We decide how, where and whether Business Content appears, and we are not required to display any of it.

8. Reviews and replies

These rules apply wherever JoinUp shows ratings, reviews or comments that people write about a business ("reviews"). They reflect, among other laws, the US Federal Trade Commission's Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465).

• Where JoinUp offers replies, you may reply publicly to a review. Keep replies honest, relevant and respectful, and do not reveal personal information about the reviewer.
• You may not edit, remove or hide a customer's review. Report a review through JoinUp only if you believe it breaks our rules; a review being negative is not by itself a reason to remove it.
• Do not pay, reward or offer anything of value, including discounts or free items, for a review or for changing or removing one.
• Do not pressure, badger or repeatedly ask a customer to write, change or remove a review.
• Do not write, buy, sell or arrange fake reviews, reviews from anyone without a real experience of the business, or reviews of your business or a competitor by its owners, officers, managers, employees, agents or their relatives.
• Do not suppress reviews. Do not threaten, intimidate or harass a person, make a legal threat that is unfounded or groundless, or publicly and falsely accuse them, to stop them posting a review or to get one taken down.
• Do not buy, sell or use fake followers, saves, views or other fake signs of popularity for your page, on JoinUp or anywhere you point people to it.

9. Offers and deals

• Every offer, deal, discount or promotion you post must be real, available on the terms you describe, and honored as posted until it ends or you withdraw it in JoinUp, including for people who show it to you on JoinUp. Withdrawing an offer early does not excuse honoring it for anyone who already accepted or redeemed it before you withdrew it.
• State all conditions clearly, including dates, times, quantity limits, minimum spend and exclusions. Do not post an offer you do not intend to honor.
• Offers must follow every law that applies to them, including consumer protection, pricing and advertising laws, and laws on alcohol, tobacco, cannabis, gambling and minimum ages. Do not post an offer for alcohol or any other age-restricted product where the law does not allow that offer, and check age as the law requires before you serve or sell.
• Your business alone is responsible for its offers, for fulfilling them and for any taxes on them. We may remove an offer at any time.

10. Bookings through JoinUp

JoinUp may let people ask for or make a booking with your business through JoinUp. That booking option is off for every business until you turn it on for a location in JoinUp for Business, and you can turn it off again. A Book a table link that only opens your business's own website or a booking service it uses is not a booking through JoinUp, and JoinUp does not take that booking.

• Once you turn it on, your business is responsible for the availability it shows, for accepting or declining requests, and for honoring every booking it accepts on the terms shown when it was accepted.
• If you cannot honor an accepted booking, tell the customer as soon as you can, through JoinUp where it offers a way to do so.
• Testcamp Inc. is not a party to any booking, or to any sale between your business and a customer, and is not responsible for no-shows, cancellations or disputes about them.

11. Prohibited conduct

Your business, and anyone acting for it, must not:

• impersonate another business or person, or claim a business you are not authorized to manage;
• scrape, crawl or copy JoinUp in bulk, collect data from JoinUp by automated means, or use data from JoinUp to build a competing product or database;
• get around, probe or interfere with verification, security, rate limits or access controls;
• unlawfully discriminate against any customer, including by refusing service, bookings or offers, on the basis of race, color, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, age or any other characteristic protected by law (age limits and age-based prices the law allows or requires, such as a minimum age for alcohol, are not discrimination under this section);
• contact a person using information obtained through JoinUp for anything other than serving the booking, request or review reply that information came with;
• send spam or unsolicited commercial messages through JoinUp;
• post content that is false, misleading, unlawful or infringing, or that breaks the community rules in our Terms of Service; or
• use the JoinUp name or logo except as section 16 allows.

12. Personal information

• Through JoinUp for Business your business may receive information about people who use JoinUp, such as the name on a booking or the author of a review. Your business receives only the information JoinUp shows it.
• Use that information only to serve those customers, for the booking, request or reply it relates to. Do not sell it, share it, use it for marketing, combine it with other data to identify or profile people, or keep it longer than that purpose or the law requires.
• Protect it with reasonable security, and follow every privacy and data protection law that applies to your business. Your business is responsible for its own handling of that information.
• Tell us promptly if you learn that information received through JoinUp has been accessed or used without authorization.
• Testcamp Inc. keeps the claim records described in section 3 and a record of which JoinUp accounts manage each page. We use them to decide, review and protect claims, to resolve disagreements about who manages a page, and to enforce these Business Terms, and we keep them while the claim stands and afterwards for as long as those purposes or the law require. How we handle the personal information of everyone who uses JoinUp is described in our Privacy Policy.

13. Fees and sponsored placements

• Claiming a business page and managing it in JoinUp for Business is free of charge.
• JoinUp may offer paid sponsored placements. If it does, they are sold under their own order terms and at the prices on a separate price page, which your business accepts before it buys. These Business Terms set no prices.
• A sponsored placement is labeled as sponsored and appears in its own space. Paying for a sponsored placement does not change where your business, or any other business, appears in JoinUp's organic, unpaid results.
• We will not charge your business for anything it has not chosen to buy.
• We do not promise any number of views, visits, bookings or customers, or any particular position in JoinUp.

14. Insights and confidential information

JoinUp for Business may show you information that is not public, such as insights about how people view or act on your page, or details of features that have not launched ("Confidential Information"). Use Confidential Information only to manage your business on JoinUp, and do not disclose it to anyone except employees and advisers who need it and are bound to keep it confidential. This does not cover information that is public through no fault of yours, or that you already had lawfully. Insights are provided for information only and may be incomplete or later corrected.

15. Our intellectual property

The JoinUp name and logo, the app, its design and JoinUp for Business are the property of Testcamp Inc. Apart from the right to use JoinUp for Business under these Business Terms and the limited license in section 16, these Business Terms give your business no rights in them. If you send us feedback or suggestions, we may use them without any obligation to you.

16. Using the JoinUp name

While your business holds a verified claim, we give it a limited, non-exclusive, non-transferable, revocable license to use the JoinUp name only to say, accurately, that the business is on JoinUp (for example, "Find us on JoinUp"). Do not suggest that we endorse or partner with your business, do not alter the name or combine it with your own marks, and do not use it in a business name, domain name or social media handle. This license ends when your claim ends or when we ask you to stop.

17. Third-party services

JoinUp includes features, maps and content from other companies, and may link to their services. Those services are governed by their own terms and policies, and we are not responsible for them. If you connect another service to JoinUp for Business, your business must follow that service's terms.

18. Ending these Business Terms

• Your business may stop using JoinUp for Business at any time by contacting us at the address in section 25, or by any option JoinUp provides to give up a claim.
• We may suspend or end your business's access to JoinUp for Business, or any part of it, for the reasons in section 4, if we stop offering JoinUp for Business, or for any other reason by giving you notice.
• When these Business Terms end, your business's claim and its access to manage pages end, and its pages may stay on JoinUp as unclaimed listings.
• Sections 1 (what "you" means), 5, 6 (for content already distributed, the limits on how we use it, and your warranties), 7 (our right to correct, hide or remove Business Content), 9 and 10 (for offers posted and bookings accepted before the end), 11, 12, 14, 15 and 19 to 25 continue to apply after these Business Terms end.

19. Disclaimers

JoinUp for Business is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that JoinUp for Business, verification or any feature will be available for your business, uninterrupted or error-free, or that it will produce any result, including visibility, traffic, bookings or revenue. We are not responsible for what people who use JoinUp say about your business or do at it.

20. Limitation of liability

To the maximum extent permitted by law, Testcamp Inc. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to JoinUp for Business or these Business Terms. To the extent liability cannot be excluded, our total liability for all claims relating to JoinUp for Business is limited to the greater of the amount your business paid us for JoinUp for Business in the twelve months before the claim arose and USD $100. Some jurisdictions do not allow certain exclusions or limits, so parts of this section may not apply to your business.

21. Indemnity

Your business will indemnify Testcamp Inc. and its officers, employees, and agents against third-party claims, and the resulting losses, damages, fines, and reasonable legal costs, arising from: its Business Content; its offers, bookings, products, or services; its use of information received through JoinUp; a dispute between your business and a customer or another claimant; or a breach of these Business Terms or the law by your business or anyone acting for it. We will tell you about such a claim promptly, and your business may not settle it in a way that places an obligation on us without our written consent.

22. Changes to these Business Terms

We may update these Business Terms from time to time. When we do, we will change the date at the top of this page. For material changes we will also give notice in the app, or by email if your business account holds an email address, at least 30 days before the changes take effect, unless a change is required by law, in which case it takes effect when the law requires. If your business does not agree to a change, it should stop using JoinUp for Business before the change takes effect; continued use after that means it accepts the updated Business Terms.

23. Governing law

These Business Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and disputes will be resolved in the state and federal courts located in Delaware — except where the law of your country of residence gives you mandatory rights or venue that cannot be waived.

24. General terms

• Notices. We may give your business notices in the app, by email if its business account holds an email address, or by posting them on this page. Your business may give us notices at the address in section 25.
• Assignment. Your business may not transfer these Business Terms or a claim to anyone else without our written consent; when a business is sold, the new owner makes its own claim. We may transfer these Business Terms as part of a merger, acquisition or sale of assets, or to an affiliate.
• Severability. If any part of these Business Terms is found unenforceable, that part is enforced to the extent permitted and the rest stays in effect.
• No waiver. If we do not enforce a part of these Business Terms, we have not given up the right to enforce it later.
• Entire agreement. These Business Terms, together with our Terms of Service, our Privacy Policy and any order terms your business accepts for paid features, are the entire agreement between your business and Testcamp Inc. about JoinUp for Business.
• No agency or partnership. Your business and Testcamp Inc. are independent parties. Nothing in these Business Terms makes either the agent, partner, joint venturer, employee or franchisee of the other.
• Events beyond control. Neither your business nor Testcamp Inc. is liable for a delay or failure caused by events beyond its reasonable control.
• Export and sanctions. Your business confirms that neither it nor anyone who owns or controls it is the subject of US or other applicable sanctions or located in a sanctioned country or region, and it will follow all export control and sanctions laws when using JoinUp for Business.
